Diversity Label: Aéroports de Lyon and VINCI Autoroutes Honored

Created by the French government in 2008 and awarded by AFNOR Certification, the Diversity Label recognizes organizations that implement a structured policy to prevent discrimination, promote equal opportunity, and foster diversity within their human resources practices.

Aéroports de Lyon has joined the ranks of certified organizations this year—a recognition that highlights the steps taken to build an increasingly inclusive work environment. This distinction builds on the ongoing initiatives led by the airport, particularly through its Inclusion Campus, a program that encourages executives, managers, and HR professionals to adopt inclusive practices, while also engaging its partners and service providers.

At VINCI Autoroutes, the renewal of the Diversity Label for ASF and Cofiroute confirms a long-standing commitment. This policy is notably supported by a network of 80 diversity coordinators and ambassadors, as well as mandatory awareness training on diversity and equal opportunity for 100% of managers and recruiters. More recently, VINCI Autoroutes joined the #StOpE initiative to strengthen efforts against everyday sexism in the workplace.

Across the VINCI Concessions network, commitments to diversity are reflected in initiatives tailored to local contexts. In Peru, Lima Expresa earned a spot on the Great Place to Work® "Diversity, Equity, and Inclusion 2026" ranking, which honors organizations that foster an inclusive work environment where everyone can thrive and grow.

In Brazil, Salvador Bahia Airport received the Ethnic-Racial Diversity Seal for the eighth consecutive year—a distinction rewarding organizations that implement actions in favor of racial equity and inclusion.

This recognition highlights efforts directed at both employees and local communities. Among them is Ocupa Aero Cultural, a program that regularly transforms the terminal into an artistic space celebrating Afro-Brazilian culture. Awareness campaigns and training initiatives complete this approach to promote an increasingly inclusive environment.

These distinctions, achieved in different countries and tailored to local frameworks, reflect a shared ambition across the VINCI Concessions network: to promote a work environment where everyone can find their place, build their skills, and contribute to collective success.

A key milestone has been reached for New Lisbon Airport: the engineering, cost and construction report has been submitted to the Ministry of Infrastructure and Housing on schedule.Submission of the Environmental Impact Assessment before the end of July.Continuation of an investment program dedicated to the modernisation of airport infrastructures in the Portuguese network.

ANA – Aeroportos de Portugal, a subsidiary of VINCI Airports, submitted the Engineering, Cost and Construction Report for the new Lisbon Luís de Camões airport to the Ministry of Infrastructure and Housing on July 16, 2026. This document consolidates the results of the preliminary design studies: functional program, operational capacity, multimodal connectivity, and long-term structural solutions.

By the end of the month, the final Environmental Impact Assessment will be submitted to the Portuguese Environment Agency (APA) and the Government, in accordance with the schedule stipulated in the concession agreement. Following the evaluation of these documents by the relevant authorities, the detailed design and architectural phase will begin.

With the submission of these two reports, ANA and VINCI Airports reaffirm their commitment to creating Portugal's new international gateway, offering a modern, competitive and sustainable airport solution that serves the country's economic development.

The ongoing and planned investment program by ANA and VINCI Airports is dedicated to modernizing airport infrastructure across the entire Portuguese network. This includes, in particular: in Lisbon, the new south pier and the renovation of the central pier, the south aircraft parking area of Terminal 2, and the border control area; in Porto, the complete rehabilitation of the runway, the airport operations control centre, and the modernization of the terminal; and expansion and modernisation work in Faro in the Azores and in Madeira.

The design of the new Lisbon airport continues this commitment and mobilises a multidisciplinary team of more than 250 engineers, specialists, technicians and environmental professionals.

Designed to become an international benchmark, Luís de Camões Airport will combine cutting-edge technology, operational innovation, and environmental sustainability. With a capacity to handle 56 million passengers per year upon opening, the airport will support the growth of air travel in Portugal for decades to come. Aiming to be among the most advanced airports in the world, it will include two runways, 120 aircraft stands, 194 self-service check-in kiosks, a passenger terminal of approximately 500,000 m², and innovative technological solutions to optimise operations and reinvent the passenger experience.

The airport will be integrated into a multimodal network including the third bridge over the Tagus, the high-speed rail network and new road connections, thus strengthening its territorial connectivity.

VINCI Airports’ passenger traffic remained stable in the 1^st half of the year, despite geopolitical disruptions that affected certain airports in the 2^nd quarter. While the conflict in the Middle East and tensions between China and Japan weighed on a few airports, others (notably in Portugal, Edinburgh, Belgrade, Budapest, the Dominican Republic, Brazil, and Cabo Verde) posted strong performances.

Overall, more than 159 million passengers were welcomed at the airports managed by the Group this half-year. This overall performance reflects the network’s strong geographic diversification and its resilience in the face of short-term markets disruptions.

In the paragraphs below, and unless otherwise stated, the variations refer to traffic levels for the 2^nd quarter of 2026 compared to the 2^nd quarter of 2025.

In the second quarter of 2026, VINCI Airports welcomed 85.1 million passengers across its entire network, recording a slight decrease of 1.3% compared to the same period in 2025. This trend reflects contrasting dynamics within the wide diversity of airports managed by VINCI Airports.

At London Gatwick, the decline in traffic was driven by the significant reduction in flows to and from the Middle East, as well as the restructuring of part of the medium-haul offering. In Chile, Santiago airport experienced a decline in traffic due to the unfavorable impact of rising fuel prices and reduced passenger flows from Argentina. In Mexico, the increase in fuel prices also slowed growth momentum. However, traffic recorded a slight rise during the quarter, supported by a rebound at the end of June, notably driven by an influx of passengers attending World Cup football matches, particularly in Monterrey. In Asia, tensions between China and Japan continued to impact the performance of Japanese airports. 

Conversely, several airports in the network continued their growth trajectory. In Europe, Belgrade airport reaffirmed its dynamism, driven notably by the development of intra-European destinations such as Rome and Barcelona, marked by increased capacity and high load factors. At Edinburgh airport, traffic growth this quarter was fueled by connections to the United States (Philadelphia, New York, Chicago), as well as increased capacity offered by the main platform's airlines (Ryanair, easyJet, Jet2). Budapest airport recorded high passenger numbers, driven by the expansion of Wizz Air’s offerings and the influx of passengers attending the Champions League final at the end of May. This positive momentum continued in June, with traffic up 13% compared to last year. In Portugal, despite the nationwide general strike on June 3, which impacted traffic, overall growth remained for the period. Porto airport maintained its performance, fueled by transatlantic connections and leisure flights within Europe operated by Ryanair, Transavia, and TAP, as was also the case in Faro with Jet2.

In the Cabo Verde archipelago, the airports of VINCI Airports' network recorded an increase in passenger traffic, driven by the new connections to Europe offered this year.

In Brazil, Salvador Bahia airport continued its remarkable growth as a regional hub following investments by GOL Airlines. In the Caribbean, airports in the Dominican Republic experienced a strong increase in traffic, bolstered by Canadian airlines extending winter season flights due to strong demand, as well as the expanded offerings of carriers such as Arajet, American Airlines, and Copa airlines at Santo Domingo airport. In the same region, Guanacaste airport strengthened its international appeal, driven by an increase in seat capacity offered by US airlines.

An eight-year contract to install and operate 180 HGV charge points across 25 stationsAn approximately €100 million investmentA stronger foothold in the German charging station market for the Group

The Federal Republic of Germany has awarded VINCI Concessions subsidiary eliso a contract to install and operate 25 charging stations for HGVs in the north of the country. The contract will run for eight years and covers up to 180 charge points on the principal transport routes.

The charging stations will be designed specifically for electric HGVs, with between three and thirty-six charging points per site and power ratings of up to 1 MW.

The federal government had already entrusted eliso with building and operating 800 fast charge points for electric vehicles across 100 stations in northern, eastern and central Germany in 2023, under the ongoing Deutschlandnetz programme.

VINCI Concessions also operates electric charging stations in France for cars (through its subsidiary Easy Charge, in partnership with VINCI Energies) and has launched projects for HGVs (through its subsidiary Voltix). Together, eliso and Voltix are helping to make electric, low-carbon freight transport in Europe a reality.

The consortium brings an ambitious and sustainable project for the development of the Rennes and Dinard Bretagne airports. This project was designed to meet the high expectations expressed by the local authority and its residents: strengthening connectivity options, modernizing infrastructure and services, accelerating the environmental transition, and achieving financial autonomy.

Following a competitive bidding process lasting nearly two years, the bid submitted by VINCI Airports, the Ille-et-Vilaine CCI, and SEALAR for the management of the Rennes and Dinard Bretagne airports has been chosen by the elected officials of the Regional Council.

The choice made by the Brittany Region reflects renewed confidence in a model that combines the operational expertise of VINCI Airports - the world’s leading private airport operator- with the local roots of the Ille-et-Vilaine CCI and SEALAR. Together, the partners will work to strengthen the airport's positive impact on the residents, businesses, and tourism economy of the region.

The future public service delegation now opens a new era of modernization and sustainable development for Brittany's public airport service. In line with the expectations expressed by the Brittany Region, the partners will implement a viable and sustainable project based on four priorities:

• Strengthening the region's national and international connectivity.
• Modernizing the airport and improving the quality of service offered to passengers and airlines.
• Accelerating the decarbonization of the hubs' activities.
• Achieving financial autonomy for operations.

The project features an ambitious development plan at both the national and especially the international level.

In this regard, the 2026 flight schedule already foreshadows this ambition, with 15 destinations offered via direct flights operated by 8 airlines. This includes the opening of new routes (Ajaccio, Bastia, Seville), the return of strategic destinations (Dublin and Manchester), and increased frequencies in several key markets (London Gatwick, Marseille, Nice).

Nearly 200 destinations are also accessible via connecting flights, thanks to links to the airport hubs of Paris Charles-de-Gaulle and Amsterdam-Schiphol.

The airport modernization project will be unveiled in the fall of 2026 by the President of the Brittany Region and the members of the Consortium.

ViaPlus, VINCI Highways' subsidiary specialising in free-flow tolling solutions, has reached a new milestone in India with the opening of its first free-flow toll plaza in the country. Delivered in just five months, the Daulatpura deployment on the Delhi-Jaipur Expressway showcases VINCI Highways' expertise in delivering integrated mobility solutions while supporting India's transition towards multi-lane free-flow tolling.

Located on one of India's most strategic road corridors, the Daulatpura toll plaza is among the first in the country to enter free-flow operation. Delivered with Airtel Payments Bank for Indian Highways Management Company Limited (IHMCL), the project supports India's ambitious national programme to accelerate the transition towards multi-lane barrier-free tolling.

From roadside equipment integration and back-office systems to AI-powered image review capabilities, ViaPlus delivered the project end to end. Already managing free-flow services contracts in the United States, Europe and India, the company combines operational expertise with advanced digital technologies to enable seamless, reliable mobility solutions at scale.

For its transition to barrier-free tolling, India has chosen a multi-lane free-flow (MLFF) model. Unlike other free-flow systems that operate on a single dedicated lane in some countries, MLFF enables vehicles to move across several lanes while the system automatically identifies the vehicle, verifies the transaction and processes the toll.

At Daulatpura, the MLFF system combines FASTag, India's RFID-based electronic toll collection technology, with Automatic Number Plate Recognition cameras and centralised back-office processing. AI-based image review further strengthens licence plate recognition and transaction verification, while vehicle classification and detection are performed entirely using overhead sensors. Together, these technologies enable reliable free-flow operations, even in high-volume traffic conditions.

ViaPlus delivered the project in just five months, leading the end-to-end deployment of the system, from design and roadside equipment integration to back-office systems and AI-powered image review capabilities. Already managing free-flow services contracts in the United States, Europe and India, and processing around 40% of India's electronic toll collection transactions, the company brings deep operational expertise to one of the world's largest and fastest-growing tolling markets.

The opening of Daulatpura marks both an operational and technological milestone for ViaPlus and demonstrates its ability to support the large-scale digital transformation of road mobility in India.

The Salon Nord half-interchange, located in the Provence-Alpes-Côte d’Azur region in France, is now open to traffic. This new infrastructure complements the existing interchange by providing southbound access towards Marseille. Delivered by VINCI Autoroutes in partnership with local authorities, it improves connectivity for the Pays Salonais area, helps ease traffic flows and reduces through traffic in the town centre of Salon-de-Provence.

Designed to improve connectivity for the Pays Salonais area, the new infrastructure provides easier access to the A7 motorway, helps ease traffic flows and contributes to reducing through traffic in the centre of Salon-de-Provence.

Co-financed by the Bouches-du-Rhône Departmental Council, the Aix-Marseille-Provence Metropolitan Authority, the City of Salon-de-Provence and VINCI Autoroutes under the Motorway Investment Plan signed with the French State in 2018, the project strengthens the area's accessibility, improves travel conditions for users and provides a concrete response to the mobility challenges facing the Pays Salonais.

VINCI Airports and its joint subsidiary with ORIX, Kansai Airports, inaugurate the expanded and fully renovated international retail area of Terminal 1, marking the completion of an ambitious renovation project launched in 2021.The event coincides with the 10th anniversary of Kansai Airports' concession of the airport, illustrating a decade of commitment to the transformation and attractiveness of the Kansai region.Kansai International Airport (KIX) welcomed over 34 million passengers in 2025, confirming its status as world-class airport and gateway for tourism to Japan.

A major milestone for Kansai International Airport

Kansai International airport (KIX) reaches today a new milestone in its development with the inauguration of the completed international trade zone. This completion marks the conclusion of the extensive renovation and modernization project for Terminal 1, which began in 2021. This event coincides with the celebration of the 10th anniversary of the Kansai Airports concession, a subsidiary of VINCI Airports and ORIX, at KIX, a successful partnership that has transformed the airport into a leading global gateway.

The inauguration ceremony was organised in the presence of Nicolas Notebaert, CEO of VINCI Concessions and Chairman of VINCI Airports, Shuji Irie, Director of Concessions of ORIX group, Rémi Maumon de Longevialle, CEO of VINCI Airports, Yoshiyuki Yamaya, CEO of Kansai Airports, and Benoît Rulleau, co-CEO of Kansai Airports, as well as other officials and partners of Kansai International airport.

A major modernization project to enhance the passenger experience

The new retail area is located within an extension of the international departures area, which opened in December 2023. It comprises a total of 24 new retail outlets, including luxury brands, specialty shops offering popular regional products, and a variety of restaurants. It also features Japan's largest walk-through duty-free shop, providing passengers with an exceptional pre-departure shopping experience.

With the opening of this area, the renovation of Terminal 1 at Kansai International airport is now fully completed. This project represented a 70-billion-yen total investment. The expansion of the international departures area increased the original surface area by 60%, thus strengthening the airport's operational capacity and attractiveness.  

A decade of transformation

Since taking over the concession for Kansai International airport in 2016, VINCI Airports, alongside its partner ORIX, has actively supported the airport's development, modernization, and international reach. Driven by ambitious investments and the deployment of innovative technological solutions, these projects have significantly improved passenger journey and strengthened the airport's role. As a result, in 2025, Kansai International airport welcomed over 34 million passengers, confirming its status as a gateway to the Kansai region and the world.

Haute-Savoie Council and VINCI Airports officially inaugurated the new terminal, in the presence of elected officials and local stakeholders.This project, amounting to 2.5 million euros, is part of a multi-year investment plan co-financed by VINCI Airports and the Haute-Savoie Council.The works, which lasted 18 months, resulted in an energy-efficient terminal offering a very high quality of service, particularly for passengers.

On Tuesday, May 26, VINCI Airports and the Haute-Savoie Council, respectively manager and owner of the airport, officially inaugurated the Annecy Haute-Savoie Mont-Blanc airport’s new terminal, in the presence of local elected officials and many stakeholders.

The new infrastructure, result of a combined investment of €2.5 million co-financed by VINCI Airports and the Haute-Savoie Council, represents a major step in the airport's development. Completed after 18 months of work between July 2024 and January 2026, the project is part of the overall €10 million investment plan launched by VINCI Airports upon taking over the concession in 2022, covering the fifteen-year concession period.

The redevelopment of the terminal responds to a dual ambition: to improve the passenger experience, while aligning the infrastructure with high environmental standards.

• Carbon emission reduction: a decrease of 30 tonnes of CO2 equivalent per year thanks to the cessation of gas use, reinforced thermal insulation and precise monitoring equipment for water and electricity consumption.
• Improved customer and employee experience: with modernised spaces, the creation of three passenger lounges instead of one previously, and a dedicated crew area. Employees also benefit from more ergonomic and comfortable workspaces.
• Improved accessibility: integration of a new forecourt facilitating access for people with reduced mobility.

This project is part of a comprehensive modernisation plan for Annecy Haute-Savoie Mont-Blanc airport. Since 2022, several renovations have been carried out on existing infrastructure, including:

• The restoration of runways, taxiways and aircraft stands;
• The installation of a new fuel station incorporating a charging point for electric aircraft and enabling the distribution of sustainable aviation fuel (SAF).

This security flagship project led by VINCI Airports at Budapest airport is the outcome of a teamwork done with colleagues from Edinburgh and London Gatwick to design new standards and implement the new area, thus demonstrating the strength of our global model thanks to the help and advisory provided by employees of both the British airports.

Yet behind this apparent simplicity lies one of the most demanding areas of mobility: keeping highways safe, operational and reliable at all times. This is why VINCI Highways, VINCI Concessions' international division operating in 13 countries, created Open Tour: to reveal what usually remains behind the scenes. 

Held simultaneously across all regions where VINCI Highways operates, Open Tour is one of the largest initiatives of its kind in the highway industry. In one unprecedented global movement, teams across the world opened traffic management centres, maintenance sites, patrol bases and operational facilities to visitors, transforming usually restricted environments into places of discovery and dialogue.

This year, Open Tour placed youth and road safety at the heart of the initiative. Across the  VINCI Highways network, Open Tour brought together young visitors around road safety and highway operations through immersive visits, demonstrations and workshops. In Slovakia and the Czech Republic, children and students discovered emergency response operations through simulators, guided tours and creative activities. In Greece, Germany and India, visitors explored major infrastructures, operational centres and mobility innovations, while learning about the technologies and teams behind highway management. In Brazil, Colombia, Peru and the United States, students, public authorities and local communities took part in activities focused on road safety, sustainable mobility and transport careers, highlighting the collective commitment to safer and smarter roads.

With Open Tour 2026, VINCI Highways has turned a global open day into a powerful moment of transmission. By revealing the reality of highway operations to the next generation, the event gives the public a direct view of the complexity of highway operations, the expertise of the teams, the precision required in every gesture and the growing role of AI and other technologies in the road sector.

In recent months, VINCI Airports has opened several new routes within its network, strengthening connections between its airports and the rest of the world. From Budapest to Seoul with Asiana Airlines, from Faro to London with Jet2, and from Monterrey to Paris with Aeromexico, these connections illustrate the network's ability to develop new routes, responding both to the growing mobility needs of travelers and the challenges of attracting investment to different regions.

Connections that make sense

Each new route addresses an identified need. Some create new connections between previously underserved regions, such as Budapest-Algiers with Air Algérie, which provides direct access between Central Europe and North Africa. Others strengthen strategic routes or high-demand destinations by offering additional seats. In Europe, the opening of routes like Lisbon-Berlin with Eurowings, Nantes-Brussels with Volotea, and Faro-Warsaw with Wizz Air leads to more direct connections and simplified journeys for passengers.

By multiplying these targeted openings, VINCI Airports facilitates access to territories, supports their tourist activity and supports local economic exchanges.

A dynamic driven by the diversity of opportunities

These new routes also cover different needs, from short to long-haul, with direct flights and strategic destinations.

Routes such as Kansai-Bangkok with VietJet or the new connections to Seoul operated by Asiana Airlines allow some airports to be opened directly to Asia, without going through major international hubs, while many intra-European openings strengthen the links between cities and capitals of the continent.

With more than 300 partner companies, VINCI Airports relies on a diverse ecosystem to develop these new routes and adapt its offering to each territorial reality.

A constant focus on the passenger experience

The development of new routes is accompanied by a constant focus on service quality. Each new route has a clear objective: to offer a simple, seamless journey tailored to each traveler's profile, regardless of the airport or destination. 
This approach translates concretely into the deployment of innovative services, such as virtual agents, the design of adaptable spaces to suit local needs, and a retail and dining offering tailored to passenger expectations.

Each airport in the network thus adapts its infrastructure and services to combine operational performance and passenger experience.

A development carried out in close collaboration with the airlines

These new routes are the result of close and regular work with the airlines. Together, the teams identify development opportunities, analyze markets (data, geography, traffic patterns, travel reasons, etc.) and support the ramp-up of the routes.

The opening of routes such as Kansai-Bangkok with VietJet or Toulon-London City with British Airways illustrates this ability to develop routes with high added value.

In the paragraphs below, and unless otherwise stated, the variations refer to traffic levels for the 1^st quarter of 2026 compared to the 1^st quarter of 2025.

More than 74 million passengers passed through the VINCI Airports network in Q1 2026, representing a 1.5% increase compared to the same period in 2025. This performance highlights the resilience and geographical diversity of the network in a context marked by geopolitical disruptions. While the conflict in the Middle East and tensions between China and Japan have locally impacted some airports, the overall effect on the global dynamics of the VINCI Airports network has remained limited, further confirming its robustness.

In Latin America, the airports in the network once again delivered excellent performance. In Brazil, Salvador Bahia airport recorded a remarkable double-digit traffic growth this quarter (+12 %) due to the expansion of services offered by airlines GOL, Azul, and LATAM, as well as strong demand for long-haul routes operated by TAP. In Mexico, growth continued with very positive momentum in Monterrey, driven primarily by domestic flights this quarter. In the Dominican Republic, the airports of the network recorded increased passenger numbers, with notable growth from Arajet at Santo Domingo. Costa Rica has solidified its international appeal. The only exception is Santiago Airport in Chile, where traffic has declined due to fleet allocation issues impacting SKY Airlines.

In Cabo Verde, the airports within the VINCI Airports network have recorded very positive growth momentum, with traffic increasing by 17 %. This performance was driven by the diversification of air connectivity offerings, including new routes operated by partner airlines such as easyJet and Transavia, with new winter-season connections from France, the United Kingdom, and Portugal.

In Europe, several airports in the VINCI Airports network maintained their growth trajectory. Belgrade airport continued to demonstrate dynamism, notably driven by the development of routes to Western Europe. At Edinburgh, traffic growth has remained robust, driven by Mediterranean destinations. Despite the impact of flight suspensions to the Middle East, Budapest airport continued to register high passenger numbers, driven by expanded offerings from Ryanair and easyJet and growing interest in destinations such as Italy, Spain, and France.

In Portugal, Lisbon airport has benefited from the surge in long-haul flights operated by TAP to Brazil and the United States. Meanwhile, Porto airport has reported strong traffic growth, supported by sustained increases in transatlantic connections as well as routes to Spain, the United Kingdom, and Italy.

Some airports faced less favourable market conditions. At London Gatwick, the reorganization of medium-haul offerings and cancellations related to the conflict in the Middle East have tempered the strong performance of easyJet and British Airways in the first quarter. Meanwhile, in France, domestic traffic, lastingly hindered by increased taxation, slowed the performance of regional platforms.

Finally, geopolitical tensions between China and Japan affected the overall results of Japanese airports. However, the regional market has remained dynamic, with traffic showing significant growth, particularly from South Korea.

SunMind, VINCI Concessions' subsidiary dedicated to renewable energy, has commissioned two new photovoltaic power plants at Madeira and Porto Santo airports in Portugal, marking a new step in VINCI Concessions' strategy to integrate renewable energy solutions across its infrastructure portfolio.

These projects illustrate an integrated approach combining infrastructure operation and energy production to support decarbonisation. The installations are based on two 15-year Power Purchase Agreements (PPAs), enabling the direct supply of locally generated, low-carbon electricity to airport operations while contributing to the long-term stability and resilience of energy supply.

At Funchal Airport, a 1,4 MWp photovoltaic plant installed on carports will generate approximately 1.87 GWh annually, covering 26% of the airport’s electricity needs. The project includes 2,411 solar panels across 400 parking spaces, enhancing passenger comfort through shaded parking while avoiding around 930 tonnes of CO₂ emissions each year.

At Porto Santo Airport, a 184 kWp ground-mounted installation will produce around 297 MWh annually, representing 24% of the airport’s electricity consumption and avoiding approximately 148 tonnes of CO₂ emissions per year.

These projects are particularly relevant in island environments such as Madeira and Porto Santo, where energy systems rely on imported fuels and have limited interconnections. On-site solar generation therefore contributes to improving both energy resilience and the environmental performance of airport infrastructure.

The commissioning of these new plants follows SunMind’s first photovoltaic project in Portugal at Faro Airport commissioned in 2022. With three installations now in operation and further developments underway in the Azores, Porto and Lisbon, VINCI Concessions continues to scale a replicable model across its network, drawing on the combined expertise of SunMind and VINCI Airports. This approach supports the deployment of integrated, long-term renewable energy solutions tailored to infrastructure and aligned with partners’ decarbonisation objectives.

Acquisition of the Safeway Concessions portfolio: 9 toll highways representing nearly 700 km on key axes of the Indian networkVINCI Highways takes position in a major high-growth global economySignificant potential for value creationFinancial closing expected by the end of 2026 

VINCI Highways, a subsidiary of VINCI Concessions, has signed an agreement with Macquarie Asia Infrastructure Fund 2, which is managed by Macquarie Asset Management, to acquire the Safeway Concessions portfolio, comprising nine toll highway concessions in the States of Andhra Pradesh, in south-east India, and Gujarat, in the west of the country. 

These nine concessions total nearly 700 kilometres of highway sections located on key axes of the national network, linking important industrial, agricultural and logistics areas: the sections in the State of Andhra Pradesh are located on the NH-16 corridor, part of the "Golden Quadrilateral" linking Kolkata to Chennai, one of the country's main transport routes. Gujarat's assets serve one of India's most industrialized States.

These highways are operated under TOT (Toll Operate Transfer) contracts with the National Highway Authority of India (NHAI), with contractual maturities ranging from 2048 to 2058. The concessionaire is remunerated through toll revenues generated by traffic.

The acquisition of a highway portfolio of this size and quality is a rare opportunity in a fast-growing market. It is perfectly in line with VINCI's long-term investment strategy in mobility infrastructure. 

At this stage, VINCI Highways has identified optimisation opportunities across the portfolio both financially and operationally (operational processes, road safety, environmental performance). Further opportunities are expected in toll digitalisation as India transitions to a free-flow system. In this regard, VINCI Highways has recognised expertise in the country through its subsidiary ViaPlus, which employs nearly 400 people in Hyderabad.

The transaction values Safeway Concessions based on an Enterprise Value of approximately 150 billion Indian rupees, at a multiple of around 15x Ebitda. The final amount of the transaction and the amount of the equity investment will be determined after usual adjustments at the closing date and finalization of the financial structuring of the transaction. 

The transaction is subject to approval by the relevant Indian authorities and financial closing is expected by the end of 2026.
